Salon Partner Agreement
Version 2026-08-07 (DRAFT — subject to legal review) · Contact: partners@queenpass.app
This agreement is between Queenpass ("Queenpass", "we", "us") and the salon business that creates a partner account ("you", the "Partner"). It governs your use of the Queenpass partner dashboard and apps, and every deal and Service Pass you sell through the Queenpass marketplace. By ticking the acceptance box you agree to this agreement and to the Privacy Policy on behalf of the business.
1. What Queenpass is
Queenpass is a marketplace where customers buy prepaid Service Passes for discounted beauty services. You provide the services; we provide discovery, full online collection of the customer's payment, the pass and its QR redemption, appointment tools, and reporting. We act as an intermediary and payment facilitator, not as the provider of the services.
2. Eligibility, verification and licensing (KYB)
You must hold a valid trade licence for the services you offer and upload it during onboarding. Your account goes live only after we review and approve it. You must keep your licence, business details, address and opening hours accurate and current. If you replace the uploaded licence, the new document re-enters review before it is treated as verified. One account per salon; you are responsible for all activity on it.
3. Your services and the deals you publish
You select the services you offer from the Queenpass service catalog (service categories and the services under them) at onboarding and, afterwards, on your Services page; you may request a service that is missing, and Queenpass reviews such requests and decides whether to add it to the catalog. Every deal is bound to one catalog service and carries that service's name. Deal content (description, photo, prices, capacity, dates) must be accurate, lawful and yours to offer. The discount must be genuine — the original price must be the price you actually charge. After a deal is published: its prices and start date cannot change; its end date can only be extended; its capacity can only be increased. This protects customers who already bought passes. We may remove deals that break these rules.
4. Service Passes and the money split (commission deals)
- The customer pays 100% of the discounted price online to Queenpass at purchase. Nothing is collected from the customer at the venue.
- The purchase creates a Service Pass with a QR code valid for 30 days — the customer's window to book a visit with you or walk in. A visit booked within the window stays redeemable at that visit even after the window ends (the QR follows the booked visit).
- Our commission is 15% of the amount the customer actually pays after any loyalty-points discount on every pass that is redeemed (scanned at a visit).
- Your Partner Share is 85% of the amount the customer actually pays after any loyalty-points discount on every redeemed pass, paid in the monthly payout — a pass paid entirely with points pays no Partner Share. Queenpass-funded promotional codes do not reduce your Partner Share: a promo discount lowers the customer's payment and Queenpass funds the difference.
- Worked example — AED 200 deal: the customer pays AED 200 in-app; our commission is AED 30; your Partner Share is AED 170 (paid in the monthly payout); the customer pays nothing at the visit. If the customer redeems AED 50 in loyalty points on that AED 200 pass, she pays AED 150 and your Partner Share is 85% × 150 = AED 127.50.
5. Appointments, QR redemption and honouring passes
A pass has no fixed slot — the customer arranges the visit with you, and you record it as an appointment; the appointment reserves the pass for that visit. Booked visits must be honoured. At the visit you scan the customer's QR — the completed scan is what redeems the pass and drives your earnings, review eligibility and reporting. Customers cannot cancel an appointment in-app; they contact you or Queenpass support.
6. All sales final; refunds, releases and no-shows
Customers pay in full at purchase and cannot cancel or refund a pass themselves. Refunds happen only through Queenpass support, at its discretion (for example where a service could not be delivered):
- A refunded pass pays no Partner Share. If the share was already paid out, it is clawed back from your next payout (section 7).
- An expired pass pays no Partner Share — if the customer never redeems within the window, the purchase amount is retained by Queenpass and nothing enters your payout.
- Cancelling a booked visit releases the pass back into its window. If the cancellation is the salon's fault, the customer's pass is extended by 10 days.
- No-shows: marking a no-show releases the pass; after two no-shows the pass is forfeited and can no longer be redeemed.
- If you cannot honour a sold pass or a booked visit, Queenpass support may refund or extend the customer's pass; repeated failures are grounds for suspension (section 12).
7. Payouts
Partner Shares are settled once per month: each calendar month closes on its last day, and the payout for that month is dated the last day of the month. The payout covers every pass redeemed in that month, minus adjustments (refunds settled after an earlier payout was already made are clawed back from the next payout, which can make a payout negative). Payouts are transferred by bank transfer to the UAE IBAN on file — a payout cannot be transferred until valid bank details (account holder, bank, IBAN) are on file. You are responsible for keeping them accurate; we notify your login email whenever they change.
8. Wholesale (pre-purchased) service units — service lines, acceptance, posting in your name, and the per-service posting restriction
Separately from commission deals, Queenpass may offer to pre-purchase service units from you in service lines — for each of your catalog services, a number of units at a wholesale price per unit — paid to you upfront for the whole batch:
- Offer and acceptance. Each batch starts as a written offer in your dashboard listing its lines: for each line, one of your catalog services (a service you have selected for your salon — for example Hair → Haircut), a number of units, the wholesale price per unit for that service, and the line total — plus the batch total (the sum of the lines) and any notes. A batch has no time window. Every offer carries its own answer-by date: an offer neither accepted nor declined by then lapses automatically and creates no obligations. Accepting in the dashboard is a binding acceptance of all the batch's lines (there is no partial acceptance); declining (with a reason) creates no obligations. Queenpass may withdraw an offer at any time before the batch is paid. The lines are fixed once accepted — units are not moved between services; any further purchase is a new offer.
- Posting in your name. By accepting, you authorise Queenpass to create and publish deals under your salon's name for each line's service, up to that line's number of units. Each posted deal carries the catalog name of the service (Queenpass does not rename it), states the service's regular price and sets the customer price; Queenpass may run several deals from one line, and you are notified of every deal posted in your name. Customers buy and redeem these passes at your salon exactly like any other deal.
- Payment. The upfront batch total (the sum of the lines) is paid when Queenpass marks the batch paid — before any deal from it goes on sale. Until then no amount is due; if Queenpass withdraws after your acceptance and before payment, nothing is owed by either side and the posting restriction below lifts immediately.
- Per-service posting restriction. From the moment you accept, and for each service on the batch's lines only, your own deals for that service are paused and you cannot publish, resume, schedule or duplicate deals for it on Queenpass while Queenpass still holds unsold units of that service bought from you. Your other services are unaffected — you keep publishing deals for them as usual. The restriction on a service lifts automatically when its units are sold out, or when Queenpass closes the batch (or withdraws before payment); Queenpass may also lift it earlier, or impose a restriction on a service, at its discretion, and notifies you when it does. Serving customers is never affected: booked visits, QR scanning, pass redemptions and your monthly payouts for redeemed commission passes continue as normal, and passes already sold from your own deals remain valid and must be honoured. When a restriction lifts, your paused deals for that service are resumed automatically and you are notified.
- Duration. A paid batch has no end date: it runs until its units are sold, or until Queenpass closes it and writes off whatever is unsold. A unit counts as sold once a customer has paid for a pass; a later refund does not reopen a sold-out line.
- Resale and risk. The customer pays Queenpass in full online for every unit sold and pays nothing at the venue — you scan their QR and provide the service, and no per-visit amount is owed to you or by you (your consideration is the upfront batch payment; the pricing of the posted deals, the margin, and the risk on unsold units and unredeemed passes are Queenpass's). Each pass sold from a wholesale batch is valid for the standard 30 days from purchase — exactly like any other pass (the expiry risk stays Queenpass's, and you honour the pass like any other).
- Your services. Offers and posted deals draw on the catalog services you have selected for your salon, so you must keep your selection accurate and be able to provide each selected service to a professional standard. While a service is part of a pending, accepted or paid wholesale offer you cannot remove it from your selection. You must honour any service that a deal posted in your name covers.
9. Service standards and conduct
You must deliver the services a pass covers safely, lawfully and to a professional standard, treat customers respectfully, and not solicit customers to pay off-platform for a Queenpass service, manipulate reviews, or create fake purchases. Reviews are written by customers after scanned visits; we do not remove honest reviews.
10. VAT and taxes — to be confirmed
The treatment of VAT on the commission and on deal prices is being finalised and will be confirmed in writing before or at the time it is applied (a 5% VAT amount on the commission is already recorded internally). You remain responsible for your own tax obligations on amounts you receive. This section will be replaced by the confirmed treatment.
11. Data protection
Customer personal data you receive through Queenpass (the customer's first name and last initial, pass and visit details) may be used only to deliver the service the pass covers, and must be handled per the Privacy Policy and applicable law. We process your business data as described in the Privacy Policy.
12. Suspension and termination
We may suspend or terminate your account for breach of this agreement, unlawful activity, licence issues, or to protect customers — deals are unpublished and no new passes are sold; amounts already earned under section 7 remain payable. You may stop selling at any time (pause or close your deals) and may request account deletion from the dashboard; passes already sold and visits already booked must still be honoured, and financial/audit records are retained as required by law after deletion.
13. Liability
You are responsible for the services you deliver and for any harm arising from them. To the extent permitted by law, Queenpass's total liability to you under this agreement is limited to the fees (commission) we charged you in the three months before the claim, and neither party is liable for indirect or consequential losses. Nothing excludes liability that cannot be excluded by law.
14. Changes
We may update this agreement. Material changes are versioned; you will be asked to accept the new version in the dashboard before continuing to use it. The version you accepted is recorded with a timestamp.
15. Governing law
This agreement is governed by the laws of the United Arab Emirates, and disputes are subject to the competent UAE courts.
